1. Acceptance of Terms These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Manomay Informatics ("Company"), the owner of the PromoSetu platform. By creating an account, you verify that you are a legitimate business entity with a valid GST registration.

2. Nature of Platform (Intermediary Status)

  • No Transaction: PromoSetu is strictly an Information Intermediary and Lead Generation platform. No financial transactions, payments, or transfer of ownership take place on PromoSetu.

  • No Liability: Manomay Informatics is not a party to any agreement between the Supplier and the Agency. We are not responsible for the quality, safety, legality, or pricing of the products listed.

3. Disclaimer of Warranties The Service is provided "as is." While Manomay Informatics strives for accuracy:

  • Stock Data: We do not guarantee that the stock counts displayed via API/Dashboard are 100% real-time.

  • Pricing: Wholesale rates listed are indicative. Final pricing is agreed upon offline between User parties.

  • Delivery: We are not responsible for shipping delays, damaged goods, or logistics failures managed by Suppliers.

4. User Obligations

  • Suppliers: You agree to upload accurate data. You grant Manomay Informatics the right to display your product data to our network of Agencies.

  • Agencies: You agree to use the data solely for legitimate business sourcing.

  • Non-Circumvention: Suppliers agree not to solicit the End Client directly if such data is accidentally revealed. The End Client relationship belongs solely to the Agency.

5. Pricing & Payments

  • Platform Fees: PromoSetu is currently in a "Request Access" phase. Manomay Informatics reserves the right to introduce subscription fees in the future with advance notice.

  • Offline Deals: All payments for goods are handled directly between the Agency and Supplier. Manomay Informatics does not collect commissions and is not liable for payment disputes.

6. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, MANOMAY INFORMATICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS) ARISING FROM:

  • Errors in inventory data.

  • Manufacturer failure to deliver.

  • Agency failure to pay.

  • Service interruptions of the PromoSetu API.

7. Governing Law These Terms shall be governed by the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the courts in Thane, Maharashtra.
